Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Drive On Demand LLC ("Company," "we," "us," or "our"), located at 1200 Brickell Avenue, Suite 1800, Miami, FL 33131, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms apply to all visitors, users, and others who access or use our vehicle rental services for rideshare driving purposes, including but not limited to Uber, Lyft, and other transportation network company ("TNC") platforms.

2. Eligibility Requirements

To rent a vehicle from Drive On Demand, you must:

• Be at least 21 years of age
• Possess a valid U.S. driver's license for a minimum of one (1) year
• Be approved to drive on at least one TNC platform (Uber, Lyft, etc.)
• Pass our background check and driving record verification
• Provide valid proof of insurance as required by applicable law
• Have a valid Social Security Number or Individual Taxpayer Identification Number
• Not have any DUI/DWI convictions within the past seven (7) years
• Not have more than three (3) moving violations in the past three (3) years

3. Vehicle Rental Agreement

Upon approval, you will enter into a separate Vehicle Rental Agreement that specifies the terms of your rental, including but not limited to rental rates, payment schedules, mileage limits, and vehicle condition requirements. These Terms of Service are incorporated by reference into any Vehicle Rental Agreement.

3.1 Rental Period

Rentals are offered on a weekly basis. The minimum rental period is one (1) week. You may terminate your rental with seven (7) days written notice.

3.2 Payment Terms

Rental payments are due weekly in advance. We accept major credit cards, debit cards, and ACH transfers. A security deposit may be required at the time of rental. Late payments are subject to a fee of $25 per day.

4. Vehicle Use Restrictions

You agree to use rented vehicles solely for lawful purposes and in compliance with all applicable laws. You shall NOT:

• Use the vehicle for any illegal purpose or activity
• Operate the vehicle while under the influence of alcohol, drugs, or any impairing substance
• Permit any unauthorized person to operate the vehicle
• Use the vehicle for racing, towing, or off-road driving
• Transport hazardous materials or illegal substances
• Smoke or vape in the vehicle
• Transport pets without prior written approval
• Make any modifications or alterations to the vehicle
• Use the vehicle outside of the approved service area (Miami-Dade, Broward, and Palm Beach Counties)
• Sublease, rent, or otherwise allow third parties to use the vehicle

5. Insurance and Liability

5.1 Insurance Coverage

All vehicles are covered by commercial auto insurance while being used for TNC services. You are responsible for maintaining any additional personal auto insurance required by law or your TNC platform. You must immediately report any accidents or incidents to both Drive On Demand and your TNC platform.

5.2 Deductible Responsibility

In the event of an accident, you are responsible for the insurance deductible up to $1,000 for comprehensive claims and $2,500 for collision claims, regardless of fault determination.

5.3 Limitation of Liability

To the maximum extent permitted by law, Drive On Demand shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of income, loss of profits, or loss of business opportunities arising from your use of our services.

6. Maintenance and Repairs

Drive On Demand is responsible for routine maintenance, including oil changes, tire rotations, and scheduled service appointments. You must return the vehicle for scheduled maintenance as directed.

You are responsible for immediately reporting any mechanical issues, warning lights, or damage to the vehicle. Failure to report issues promptly may result in charges for resulting damage.

You are responsible for keeping the vehicle clean and in good condition. A cleaning fee of up to $250 may be charged for excessively dirty vehicles.

7. Termination

We reserve the right to terminate your rental agreement immediately and without notice for any violation of these Terms, including but not limited to:

• Failure to make timely payments
• Violation of vehicle use restrictions
• Deactivation from all TNC platforms
• Providing false or misleading information
• Criminal activity or arrest while in possession of the vehicle
• Failure to maintain required insurance coverage

Upon termination, you must immediately return the vehicle to our designated location. Failure to return the vehicle within 24 hours of termination notice may be reported as theft.

8. Indemnification

You agree to indemnify, defend, and hold harmless Drive On Demand, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any claim that your use of our services caused damage to a third party.

9. Dispute Resolution

Any dispute arising out of or relating to these Terms or our services shall be resolved through binding arbitration in Miami-Dade County, Florida, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
